Welcome to input.fm! These Terms of Service ("Terms") govern your use of our services. By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our services.
Introduction
Throughout this document, "input.fm" refers to the platform and associated services provided by SIGNALINPUT LC, including the software application, website, and any other related products or services offered by us. These Terms of Service ("Terms") are a legal agreement between you ("User" or "you") and SIGNALINPUT LC ("Company," "we," "us," or "our"). These Terms set forth the terms and conditions under which you may access and use our website, products, and services (collectively, the "Services").User Definitions
In these Terms, the term "Talent" collectively refers to both "Artist" and "Pro," encompassing all individuals and groups offering services through input.fm.
Artist: Individual artists or groups (e.g., singers, bands) offering services through input.fm.
Pro: Individual professionals (e.g., producers, lawyers, agents) or groups (e.g., music studios, legal firms) offering services through input.fm.
Client: Retail, corporate, or individual users who purchase services through input.fm.
Account Eligibility and Responsibility
Eligibility: By using the Services, you confirm that you are at least 18 years old or have the legal capacity to form a binding contract in your jurisdiction.
Account Responsibility: You are responsible for maintaining the confidentiality of your login credentials and for any activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.
User Conduct
Users agree to engage professionally and lawfully on input.fm. You agree to refrain from:
Harassment, abuse, or discrimination against other users.
Posting illegal, defamatory, or obscene content.
Fraudulent activity, including fake profiles or misrepresentation of identity.
Violating any laws or regulations while using the platform.
Liability for In-Person Meetings
Users enabling the "allows visits" option assume full responsibility for their safety during in-person meetings. We will not be liable for any damages or harm resulting from these meetings. Users are encouraged to take safety precautions.Non-Violation of Other Contracts
Users must confirm that using input.fm does not violate any prior contractual obligations.Intellectual Property and Content Ownership
Users retain ownership of the intellectual property (IP) they create and upload to input.fm, subject to the terms of their agreements with other users. Unless otherwise specified in a contract, Talent retains all rights to their original work, and Clients do not acquire ownership simply by hiring Talent. The following terms govern content ownership, default work-for-hire rules, and user responsibilities regarding uploaded content.7.1 Default Work-for-Hire Terms
By default, work-for-hire does not apply to live shows, performances, or gigs unless explicitly specified in the contract. Talent retains all rights to their performances or creative work unless otherwise agreed upon through the contract terms.
If a contract specifies that the work is to be work-for-hire, the client will own the rights as outlined in the agreement. This may include Recording Rights, Performance Rights, Synchronization Rights, and any other rights related to new, original work created specifically for the client.
7.2 Exceptions for Pre-Existing Works
Pre-existing works, such as original songs, performances, or other artistic content, remain the property of the artist unless explicitly stated in the contract. Live shows and performances do not grant the client ownership, even if recorded, unless this is specified in the contract and agreed upon by both parties.
7.3 Modifications
Clients and talent have the ability to modify the default work-for-hire terms before starting a contract. Any modifications must be made using the platform’s contract options.
7.4 User Responsibility for Uploaded Content
Users are responsible for ensuring that all content shared on the platform complies with applicable laws and regulations, including but not limited to local, national, and international laws. Content must not be illegal, infringing, inappropriate, or harmful. Users assume full responsibility for the content they upload and are encouraged to flag or report any violations.
Profile Visibility & Approval
To maintain quality and trust on our platform, we reserve the right to review and approve profiles before they become publicly visible. Creating an account does not guarantee that your profile will be made public or searchable.We may evaluate your profile details, including your experience, skills, or content, to ensure they align with the standards and needs of our community. Profiles may remain hidden or be rejected without explanation, particularly if they appear incomplete, contain misleading information, or don’t match our platform’s focus. We also reserve the right to limit visibility or approval for any reason, including but not limited to platform capacity, category demand, or quality concerns.

9.1 Payment Processing
All payments and transactions are processed through Stripe, and users agree to comply with any relevant terms of Stripe’s services.
9.2 Client and Talent Fees
These fees include all processing costs, such as Stripe processing fees.
• Client Fee: 5% of each payment made through input.fm.
• Talent Fee: 5% of each payment received through input.fm.9.3 Payment Processing
Taxes are handled by Stripe in accordance with applicable local laws. Users are responsible for ensuring compliance with tax obligations in their respective jurisdictions.
9.4 Client and Talent Fees
All transactions conducted through input.fm are considered final upon completion unless otherwise disputed according to our dispute resolution process (see Section 22).
• Transaction Disputes: If a dispute arises regarding a transaction, users must follow input.fm's dispute resolution process (see Section 22).
• Refunds: Refunds are handled in accordance with our cancellation policy (see Section 12.1), and any applicable refunds will be processed through Stripe.Data Privacy and Security

We are not responsible for any costs, losses, or damages incurred between users of the platform, including but not limited to contract disputes, refunds, service agreements, or financial transactions. We do not mediate or enforce agreements between users, except as outlined in our dispute resolution process (see Section 22).Default Contractual Agreements
12.1 Cancellation Policy
Projects may be canceled and refunded if specified guarantees are offered. Otherwise, refunds are at input.fm's discretion, with conditions outlined for requests.
• Notice Period: Cancellations must be made at least 14 days before the scheduled service date.
• Non-Refundable Deposits: Deposits are non-refundable unless agreed upon by both parties.
• Partial Payments: Clients may be entitled to a partial refund of up to 50%, depending on the work completed.
• Force Majeure: Events beyond control (e.g., natural disasters) will not incur penalties.
• Dispute Resolution: Disputes are handled through input.fm’s dispute resolution process.12.2 Force Majeure
Obligations are suspended in force majeure events such as natural disasters, and termination may occur if the event continues for 30 days.
12.3 Insurance Requirements
Users involved in contracts must maintain appropriate general liability insurance, especially for live events or in-person engagements.
Licensing, Royalties, and Legal Compliance
13.1 Licensing and Royalties for Use
Contracts may specify licensing arrangements and royalties for ongoing use of the work. These terms are necessary for projects involving continued distribution or monetization of the work by the client. The client and talent must agree on these terms before the project starts.
13.2 Compliance with Laws and Industry Standards
Users are responsible for ensuring that the content they upload and share complies with local, national, and international laws. All parties must ensure their contracts align with legal standards, particularly concerning intellectual property and copyright.
Album Credits
If “Album Credits” are enabled on any contract, the hiring client agrees to a legally binding obligation to include the name of the party involved with respect to the work done on the project. This includes any mention of the contributor's role in the final product, marketing materials, or project documentation.Confidentiality and Non-Disclosure Agreement (NDA)
Users agree to confidentiality for any non-public, sensitive information shared during contracts. This includes business strategies, technical data, unreleased creative work, and more. The confidentiality obligations remain for three (3) years post-contract, with certain legal exceptions.Feedback System
False, misleading, or retaliatory reviews are prohibited. Feedback may be moderated, and disputes must be resolved through the platform’s dispute process.Modifications to the Terms
We reserve the right to modify these Terms. We will notify users of significant changes, and your continued use of the platform implies acceptance of the updated Terms.Termination
We may suspend or terminate your account for violations of these Terms or fraudulent activities. Users can terminate their accounts via account Settings.Limitation of Liability
We are not liable for indirect, incidental, special, consequential, or punitive damages. Users agree to indemnify and hold us harmless against claims arising from breach of these Terms.19.1 Marketing & Third-Party Listings Disclaimer
Informational Use: Any businesses, venues, or individuals mentioned in our marketing materials, directories, or promotional content are included for informational purposes only. Their inclusion does not imply endorsement, affiliation, or that they are active users of input.fm.
Third-Party Listings: Some profiles may include publicly available information (such as name, role, image, or professional details) sourced from third parties. These listings are presented in good faith under applicable fair use and directory standards. If you are listed and do not yet have an account, you may claim your profile at any time to manage or remove your information, or contact us via our support page.
Accuracy Disclaimer: We do not verify, control, or guarantee the accuracy of directory listings created from third-party information. Users should conduct their own due diligence before engaging with any individual or entity mentioned.
Indemnification
You agree to indemnify input.fm against any claims arising from:
• Your use of the platform.
• Your breach of these Terms.
• Any claims that your content violates third-party rights.Reporting and Resolution of Disputes
All disputes must be reported through input.fm’s dispute resolution process. Issues must be raised within 30 days after project completion.Dispute Resolution
Buyer and Seller Disputes: input.fm encourages Users to resolve conflicts amongst themselves. If this fails, disputes between Users should be handled using the platform's dispute resolution tools. Disputes must be filed before a project is marked as complete. Users must cease communication once a dispute is filed, and input.fm will attempt to mediate the dispute.
Disputes with input.fm: Users acknowledge that any actions taken by input.fm in the resolution process are made in good faith. Users shall have no cause of action against input.fm for any actions or payments made pursuant to dispute resolutions.22.1 Mediation and Arbitration
• Mediation: Parties agree to attempt mediation before arbitration.
• Arbitration: Unresolved disputes will be settled by binding arbitration under the AAA rules. The arbitration will take place in Texas.
• Class Action Waiver: You agree to resolve disputes individually and waive the right to participate in class actions.Governing Law
These Terms are governed by the laws of the State of Texas. All legal disputes will be resolved in Texas courts.DMCA Policy
input.fm respects intellectual property rights and expects Users to do the same. Users can report alleged copyright infringements using our DMCA notice process. Upon receipt of a notice, input.fm will take appropriate action, including the potential removal of infringing content.Attribution and Thanks
